Recalibrating Contract Law: Choses in Action, Global Value Chains, and the Enforcement of Obligations Outside of Privity

Lead firms want to extend control throughout their global value chains, disrupt traditional notions of privity. In this paper we describe the doctrine of choses in action that lies at the heart of assigning claims under the common law and consider its possible roles for policing global value chains. In addition to our primary focus on choses in action in different common law legal systems, we also provide a comparative look at the assignment of claims under certain European civil law jurisdictions.
